Corp_Buyer, voing no on 2 won't solve the problem you outline.

If management has devised a plan to enrich themselves at the shareholders expense, the "no on 2" vote will only delay the problem. The "no" vote won't inhibit management's (imagined) greed; they'll simply find another means to stick it to us.

As I have said: if I believed anything you claim is true, I would sell in an instant. No way I would invest my money with a management team conniving to keep the share price down for their own benefit.

Given these facts, I must INFER that management is executing a personal strategy to increase their ISO shares BEFORE increasing the stock price. This strategy by management does not surprise me and it should not surprise anyone.

Umm... it would be a surprise to me if a company in which I am invested engaged in stock price manipulation and/or were not trying their best to increase the long-term value of the stock.

As for the items in your "totality of actions" list, I am quite surprised you would relate IPR contracts to company option plans. Especially given the worldwide hiccup in the telecom sector and, more specifically, 3G WCDMA.

Perhaps you have overthought this whole thing?
