Delaware does require notice to be given to shareholders when the charter is amended through action by written consent without a shareholder meeting. but many companies conveniently forget.


LOL! Would you be aware as to whether there are any consequences imposed by the state for instances of "forgetfulness"? Or is it a mockery of a requirement where companies know they can skirt it w/o fear of consequences?
