The point is they are selling shares to non-accedited investors. This in itself is a HUGE problem. You can't do that, period.
Nothing suspect at all. I am not a "burned" investor, just a concerned citizen that has seen people that cant afford to "throw" money at a private placement, do so after they have been sold a load of crap.
It wouldnt bother me if these people investing in this thing had the money to lose. These are normal, everyday, 60K a year kind of guys.
