Yes...the idea is to provide working capital to the company while giving the existing shareholders some similar option-type pricing opportunities to those that may exist now in the company option plan.
As Sarge indicated, the additional shares would go to the shareholders who participate....so for them, there is no dilution to the extent of their participation.
The holding period requirement terms would probably be negotiated.
