Biotherapeutics, Inc., (the “Company”) which will be held on January 21, 2018 at 1:30 p.m. (local time) at
the offices of Gibson, Dunn & Crutcher LLP, 1050 Connecticut Avenue NW, Washington, DC 20036, and
any adjournments or postponements of the Annual Meeting.
We are holding the Annual Meeting for the following purposes:
1. To elect one member to our Board of Directors to serve as Class II director for a term of
three years;
2. To hold an advisory vote on executive compensation;
3. To ratify the appointment of Marcum LLP as our independent registered public accounting firm
for the fiscal year ending December 31, 2017; and
4. To act upon such other matters as may properly come before the meeting or any adjournment
thereof.
