Lot of assumptions here:

For a lender to legally sell unregistered, converted shares under Rule 144

Plenty of lenders sell unregistered shares even conversion rules are stretched converting within days of lending the money

once in a blue moon they get caught - especially lenders who get an opinion letter within days of lending and sell immediately.
