Let's assume the two companies have plans to become one. Adaptive will be the acquirer since they have liquidity in the markets and OneScreen is private. Liquidity is important since Onescreen has an investment group to answer to as pointed out by Patel. If this investment group has been with OneScreen for the last 5 years they too want to see some return on investment and having the ability to be liquid would be a step in the right direction.

Assuming this has been the plan all along a layoff of 1/3 of the One Screen staff makes perfect sense since you don't need two people doing the same job. The best OneScreen minds migrated over to Adaptive and the higher level folks that were making the most money at OneScreen were shown the door since Adaptive has someone in place that can bring the same talents to the table. That has nothing to do with having financial difficulty that is called fiscal responsibility.
