I don't see the o/s on the spin off being like that,i am sure he will have some preferred notes to remain voting rights so he does not lose his company but the plan of spin offs is that once an entity is able to stand on its own and does not need the financial backing of the mothership ,they spin it off..
honestly most spin offs trade for much higher prices cause it does not have the financial strain that the main company had to get there...
epaz cant re-do their share structure and the financing it took to get there,but the spin offs don't have to pay the price for the lessons learned either....
