LMAO, I most certainly do understand...now the education begins...No different than a Drawdown Equity Financing Agreement (“DEFA”) and Registration Rights Agreement (“RRA”)…lol, except here they call it Reserve Equity Financing “REF” - LMAO. Doesn’t matter what they call it - just a convenient way to sell shares and dilute under the disguise of a preset purchase arrangement that supposedly allows for the company to limit and manage potential shareholder dilution and maximize investment proceeds - LMAO, that's how they describe Drawdown Equity Financing Agreement (“DEFA”) and Registration Rights Agreement (“RRA”)too…lol. Don’t be fooled, tons of nano stock co share sellers use the same BS and the same sh*t hits the shareholder right in the face eventually - better wear a mask, and there are plenty of cases to back that up …LMAO…They must really be in need of $$ as this method to dump shares has mostly proven to be for hundreds of nano stocks a troubling signal of not enough profit creating revenue

So go ahead everyone, spin-it the way you want
