Evidently you don't understand the nature of the suit.

As to the SEC investigation:

In addition, the suit discloses that Harmer had been told by Zagg in July that there was a Securities and Exchange Commission investigation into the company, though it does not say the reason for the probe.

ZAGG said only that they were unaware of a formal investigation.
