SPI Manufacturing was the largest designer, manufacturer and wholesaler of commercial and light industrial modular building structures. In 1998, the company merged with Modtech Holdings Inc. (Nasdaq: MODT), the largest manufacturer of modular, relocatable classrooms.

Southern Mod is a multi million dollar company and they are temporarily leasing the ModTech website and building.

The property itself is being sold for 6.9 million:

Modtech was still operating as a Debtor in possession in 2008:

It is very clear that something is brewing here behind the scenes. Southern Modular is leasing Modtech's building to possibly figure out the market and to expand. A major question here is if Southern Modular is interested in acquiring this shell.

Also, according to filings, Modtech had around $40 million in assets and only $34 million in debt. That means the company is cash flow positive. Another reason why COMMONS WILL REMAIN INTACT

If Southern Modular wants to go public.. what better way to do it with someone elses shell if all conditions are met!

Also notice on the ModTech main site, that it was last updated in December of 2010. SOMETHING IS BREWING.

And lastly, if you call the number on the Modtech web site, it forwards you to Global Modular, Inc. another multi million dollar company. Right on Global Modulars website it states: "A Global Diversified Company". Global Diversifieds website is:

Here is an assumption:

1. I assume GDVI owns Modtechs assets now since the number is forwarding to them..why the heck would you have a old number forwarding to your company if you were not involved somehow IMO...

2. I assume GDVI owns this shell and shares now..I don't see who else could be in possession of this if they did indeed buy out Modtech...thats my assumption from the fact that Modtechs number is calling Global Modular..

3. Likely the best bet for information if they will give it out is to call and or email Global Modular about the matter:

So I guess the big question is.. does Global Modular now own this shell? Does Global Modular own the assets of Modtech completely now? Did they buy them out? Why is Modtech's number forwarding to Global Modular?

A former director says there have been no talks of restructuring commons, which leads to believe they WILL BE INTACT upon emerging from BK with the help of either Global Modular or Southern Modular.

MODTQ is a low floater with very little eyes, it moves on air. Once the market catches on about all these goodies then we will fly to dimes.
