In regards to the DD business.. it's not about not having your shareholders do their research, but about rumors of a finalized agreement before it was actually finalized. While in the talks, if one party finds out that people believe that they have already entered an agreement before they actually did, then the whole ordeal may turn into an issue of public trust. Imagine that during the talks they did not agree and no contract was drafted? Now the public, that was convinced of an agreement feels cheated. As a result, their public image goes down. This is just one of the reasons why companies don't want to disclose much until things are finalized, and that's possibly one of the reasons why the PR got delayed.
