On May 21, 2008, the stockholders of NovaMed, Inc. (the “Company” ) approved amendments to the Company's Amended and Restated 1999 Stock Purchase Plan (the “Stock Purchase Plan” ) at the Company's Annual Meeting of Stockholders. The amendments to the Stock Purchase Plan (1) increase the number of shares of common stock reserved for issuance under the Stock Purchase Plan by 200,000 shares, from the current 400,000 shares to a total of 600,000 shares; (2) extend the duration of the Stock Purchase Plan for an additional five years through May 23, 2014; and (3) make certain conforming amendments. The Stock Purchase Plan allows eligible employees to acquire common stock in the Company on favorable terms through payroll deductions.
