before they bought hotzone there was a LOI.....i believe it took like a yr....not sure what your point is here.....that the deal needed to close like 2 months ago.......why would u think that...at this point we have no idea the terms of the deal.....might not even work out.....uh they announce LOI cuz they are material.....THATS IT......nothing magical about it at all.
