Effects of a Reverse Split on a Reg A Offering
Below is how a reverse split might impact a Reg A process:
Pricing of Securities in the Offering
A reverse split will change the price per share in the Reg A offering. For example, if you originally planned to offer shares at $1, and you execute a 1-for-10 reverse split, the new offering price might become $10.
Your offering circular (Form 1-A) will need to reflect the new share structure.
Update or Amend Offering Documents
If the reverse split happens before qualification by the SEC, you’ll need to amend the 1-A filing to reflect the new capital structure and pricing.
If it happens after qualification but before offering, the company must file a post-qualification amendment.
If the reverse split happens during an ongoing Reg A offering, it's more complex and likely requires an amendment and requalification by the SEC.
