If it s signed there is a contract, just that the terms would be null without the approval. As far as materiality, if we are really talking a contract for partnering -L to BP in any way that is obviously material. At least to rational investors, which is kind of baked into the Court decisions on materiality. If we are just taking about a signed contract to collaborate on a trial, that is not material.

On the bigger question. Has anybody ever heard of a BP that had a conditional contract to partner? I have never heard of one. What I always hear is conditional milestones for trials, approvals and sales.
