Series Class C Convertible Preferred Stock All 100,000 issued and outstanding Series Class C Convertible Preferred Stock have no voting rights. The Conversion Rate shall be the number of common stock shares, at the market price at an amount equal to the dollar amount due to the Stockholder at the time of the conversion of debt to these Series Class C Convertible Preferred Stock that amount being $2,593,896 worth of common stock at the closing price of the previous day. The debt amount will be removed from the financial statement at the next quarterly filing
NOTE 7 – SUBSEQUENT EVENTS Management of the Company has evaluated the subsequent events that have occurred through the date of the report and determined that the following subsequent events require disclosure: On August 22, 2024, the Board of Directors duly adopted the following resolution creating a series of preferred stock designated as the Class C Convertible Preferred Stock, comprised of One Hundred Thousand (100,000) authorized shares. On August 22, 2024, we issued 100,000 shares of Series C Preferred Stock, valued at $2,596,896 for cancellation of debt. This debt amount will be removed from the financial statements of the Company a the next quarterly filing
