When would you say the violation of not reporting occurred?

I'm not a lawyer, but I would guess the violation of not reporting ownership occurs as soon as you cross the 5% threshold and don't report within 10 days.

And every time more shares are purchased, the violation of not reporting occurs again, right? If it's not reported within10 days after the trade?

So, if the stock stops trading, then no further violations can occur since no further purchases and therefore increases above 5% can occur... only the ones that have already occurred are the violations, right?

But what is the statute of limitations on those violations of not reporting? Isn't it 2 years?

So if the statute of limitations have already tolled, since it's been 2 years since the stock stopped trading, then would there still be any reason to report ownership at this point?

If Offor bought 50%, as a hypothetical example, didn't report it, and the violation was not prosecuted... then 2 years later, the statute of limitations have tolled, right? Does he still need to report after that?
