$VXIT would need to completely refile the REG A to Rasie $5 million by pricing the shares lower at .0001. Since we are both sure this isn't our first REG A offering we know that is not going to happen!

That number of shares in the REG A (2,500,000,000) is the largest number needed to raise the $5 million and they would need to be sold at .002 to accomplish that. These PRELIMINARY OFFERING CIRCULARS when filed cannot increase the number of shares offered in the future and your suggestion (priced lower) would require 5 billion shares to raise $5 million. Issuers can however decrease the number sold by pricing the securities higher after qualification.
