People need to read this part of the prospectus and understand what it’s saying. They are basically selling their shares for around $9.00 each! I think they’re trying to break the backs of the shorts. The short positions in SIDU has lately been over 50%.

On August 10, 2022, we entered into the Purchase Agreement and a registration rights agreement (the “Registration Rights Agreement”) with the Selling Stockholder. Pursuant to the Purchase Agreement, we have the right to sell to the Selling Stockholder up to $30,000,000 of shares of our Class A Common Stock (the “Total Commitment”), subject to certain limitations and conditions set forth in the Purchase Agreement, from time to time during the term of the Purchase Agreement. Sales of Class A Common Stock pursuant to the Purchase Agreement, and the timing of any sales, are solely at our option, and we are under no obligation to sell any securities to the Selling Stockholder under the Purchase Agreement. In accordance with our obligations under the Registration Rights Agreement, we have filed the registration statement that includes this prospectus with the Securities and Exchange Commission (the “SEC”) to register under the Securities Act of 1933, as amended (the “Securities Act”), the resale by the Selling Stockholder of up to 3,373,121 shares of Class A Common Stock, including (i) up to 3,282,754 shares of Class A Common Stock that we may elect, in our sole discretion, to issue and sell to the Selling Stockholder, from time to time from and after the Commencement Date (defined below) under the Purchase Agreement, and (ii) 90,367 shares of Class A Common Stock that we issued to the Selling Stockholder on August 10, 2022 (the “Commitment Shares”) as part of the Commitment Fee (as defined below) and in consideration for its commitment to purchase shares of our Class A Common Stock that we may, in our sole discretion, direct them to make from time to time after the date of this prospectus pursuant to the Purchase Agreement.
