Good Morning Brian,

Thank you for joining this investorshub board and for your transparency. Can you shed any light on your relationships with David Chasteen and Nick Hnatiw and how this deal came to be? I want to give you all the benefit of the doubt, however it seems quite suspicious that both Chasteen and Hnatiw were brought onto SideChannel as partners just a short time before they pushed for Cipherloc to buy SideChannel, while a huge portion of control of Cipherloc is shifting to you and presumably increasing for Chasteen and Hnatiw, as they both have interests in both companies. What are Chasteen's and Hnatiw's percentages of ownership in SideChannel and how many shares of Cipherloc are they to receive as a result of this merger? What were their contributions to SideChannel? What came first, the idea to merge the companies or them becoming your partners at SideChannel? How was Cipherloc's CEO David Chasteen able to honor and serve the best interests of Cipherloc's shareholders while also being partner at SideChannel and presumably serving SideChannel's interests? How has Chasteen's and Hnatiw's time been divided between the two companies while they have been serving both companies?

Before hearing of this deal, you can find my recent posts where I questioned Chasteen's performance. He has been both silent and invisible since taking his leadership role at Cipherloc and it seemed to me that he was allowing the stock price crater while seemingly having no interest in maximizing the stock price, this was before the announcement of the merger. With this deal coming to fruition, I cannot help but think that Chasteen wanted stock price to be as low as possible so as to maximize the number of shares it would take to acquire SideChannel. Simply put, the lower the stock price for Cipherloc, the more shares of Cipherloc Chasteen and Hnatiw receive in the acquisition. Is there any better example of a conflict of interest? Please shed light on this and prove my suspicions are wrong. Cipherloc's shareholders have suffered for many years and have the right to know.
