AGCBF: Pursuant to the Agreement, Hochschild acquired all of the issued and outstanding common shares of Amarillo by way of a plan of arrangement under the provisions of the Business Corporations Act (British Columbia). Under the Agreement, each Amarillo shareholder is entitled to receive cash consideration of C$0.40, and (ii) one (1) common share of a new Brazil-focused exploration company, Lavras Gold Corp. (the "SpinCo "), for each common share of Amarillo held.
