No, the shareholders have to hold Berman harmless and pay for any defense related to his job duties. The company is nothing without Berman so it only makes sense to ensure he has the greatest defense possible.

I'm sure this is at least a million dollar case insofar as the shareholder bill but it serves investors right for turning their backs on him and offering him such a paltry salary. He should be on paid leave in the Bahamas till the trial starts. Shareholders can definitely afford it while the company (and its director) is left bleeding.
