A public company can only buy back shares after it has filed with the SEC an 8K explaining exactly how many shares are anticipated to be purchased, over how much time, and other things about the process. It is considered a 'Material Event' by the SEC, and it cannot proceed until this filing is in place. So, no filing, no buyback.
