The following represents all shares issued during the quarter ended June 30, 2021:



On April 15, 2021, the Company issued 2,500,000 shares pursuant to an employment agreement.



On April 15, 2021, the Company issued 2,500,000 shares pursuant to an employment agreement.



On April 15, 2021, the Company issued 10,000,000 shares of common stock pursuant to a consulting agreement.



On April 15, 2021, the Company issued 5,000,000 shares of common stock pursuant to a consulting agreement.



On April 15, 2021, the Company issued 5,000,000 shares of common stock pursuant to a consulting agreement.



On May 3, 2021, the Company issued 75,000,000 shares of common stock to an accredited investor upon the cashless exercise of a warrant.



On May 6, 2021, the Company issued 54,406,964 shares of common stock to an accredited investor upon the conversion of $85,310 of accrued interest and fees related to their convertible promissory note dated June 8, 2020.



The Company issued the foregoing securities in reliance on an exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended, and/or Rule 506(b) promulgated thereunder, as there was no general solicitation to the investors and the transactions did not involve a public offering.
