We can't up-list to Nasdaq without another independent board member.

With the departure of Carolyn Hannigan KAVL does not meet the corporate governance requirements for independent directors.

The company’s board of directors is required to have a
majority of independent directors.



The board currently sits at 4 members with 2 independent directors.
