The other rub with issuing special dividends, is that as a matter of law the authorized capital is there to protect the interests of creditors. If a company has any creditors or debt outstanding, a dividend payment will run afoul of the Uniform Fraudulent Conveyance Act. If the company has a zero creditor/debt balance, but no retained earnings, then payment of any dividend will be treated as a piecemeal liquidation of the firm and that requires a shareholder vote.

Either way, it is nearly impossible to do.
