I read the S1 again.

Basically don't see that Zivo is close to anything. 8 targets and no focused plan to get something over the finish line to generate revenues. 1/2 million for this that and the other thing.

Also sez won't do the raise without listing which doesn't make sense to me either. Zivo doesn't qualify for Nasdaq due to their abysmal stock price and financial statement. And can't qualify for Nasdaq without infusion of cash in excess of 5 or 6 million at minimum.

Far be it from me but I don't get why raise can't happen via Maxim or any other IB in the space without Nasdaq listing. Happens every day.

My mistake for not waking away from this company the day I sat in the SHM, listening to Dahl ... and the stock was around 45 to 50 cents ..... and I KNEW the stock would be going down.
