Reason why they would complete this deal..
If they would've waited, that would've meant results would've been released, leaked, or positive news to some extent. I say that because a company can't "buy" shares "Knowing" that the stock will rise based on upcoming results.. (Insider information)
Therefore, you take a short term hit by issuing the shares 40 million now and let it ride, even if they waited 2, 3, 4 weeks or however long it would take to get results (assuming they are positive results) they would've issued just a smaller amount of shares at a higher price to raise the money they needed from this deal.
I believe this was done on the intent of the upcoming ETF that is to be launched in early Feb.
