Yes it's certainly one of the better "shells" out there even though technically it isn't a shell just yet but it will be treated that way in a RM scenario. And yes I agree, these deals can easily be done with preferreds, it's the best way all around anyway, even much better than with common shares. No RS needed with this SS obviously.
