It looks like another partnership deal is the reason for the share offering with preferred convertible shares. Not priced yet but VTGN is up another 17% in after hours with huge for after hours buys of 11k 13.6k and 18k in the last few minutes @$1.10 it traded a lot of shares at $1.16.
