Proxy voting for those holding shares 8/14.

Management's case for the additional share authorization is to have a stack of chips on the table to keep them being pushed out of a winning position, and the bulk of the shares would only be issued if doing so enabled a minority position for a potential suitor at a significant premium.

Bear thesis is management can't be trusted with a big stack of shares sitting there and this will lead to significant dilution.

Bull thesis is the share authorization will allow management to negotiate a better deal for the shareholders (and themselves) and possibly enable the deal to complete sooner.

I am curious how people who are holding eligible shares are leaning for this vote.
