On January 14, 2019, Mr. Warren Mosler, a 10% owner of GelTech Solutions, Inc. (the “Company”) purchased through an entity he controls 909,642 shares of the Company’s common stock and 454,821 two-year warrants exercisable at $2.00 per share for $150,000. All of the securities were issued without registration under the Securities Act of 1933 in reliance upon the exemption provided in Section 4(a)(2) and Rule 506(b) thereunder.
