trying to find information on form 15-12g... how long is it valid after filing? does it prevent suspension as i think i have heard...

Currently, it's good forever, as long as the stock doesn't lose its published quotations for more than four sessions in a row. However, the SEC is currently proposing changes to Rule 15c2-11 which, if adopted, would forbid the quotation of quote for companies that are shells according to the SEC's definition:

Being compliant with Rule 15c2-11 does not prevent SEC trading suspensions.
