because if you read the 8k, the conversion is for cash.

we have no say at all when they should convert.

3.5 million dollars disappeared from the 3.5 BILLION shares they sold into the market between may and August.

no debt paid off
no audits
no filings filed

they took money and ran, they couldn't explain where all those shares came from, so Dave decided to switch over LOI to MSSV and resign, then sign as president and director with them. This is the obvious part that Dave was behind the entire plan.
