CORPORATE CODE OF ETHICS FOR PRINCIPAL EXECUTIVE AND SENIOR FINANCIAL OFFICERS

PURPOSE:
This Code of Ethics for Principal Executive and Senior Financial Officers (the “Code”) has been adopted as a set of guidelines pursuant to which the Chief Executive Office (“CEO”), Chief Financial Officer (“CFO”), the Chief Operation Officer (“COO”), Controller and Chief Accounting Officer, persons performing similar functions and other persons as designated by the Board of Directors from time-to-time (the “Senior Officers”) shall perform their duties. This Code is intended to supplement the Code of Conduct adopted by SANTO MINING CORP., (the “Company”) that applies to all employees, officers and directors of the Company.
The purpose of the Code is to deter wrongdoing, foster confidence in management and promote ethical conduct. The matters covered in this Code are of the utmost importance to the Company, our stockholders and our business partners, and are essential to our ability to conduct our business in accordance with our stated values.
