$TSOI MERGER & ACQUISITION/ BUY OUT

Insiders are holding 855m restricted common shares
Retails are just holding 156m common shares

Here is the million dollars question:
How can insiders sell their shares?
Can they dump their shares into the open market?
No , because insiders are holding restricted common shares. They are not holding preferred shares.

Here is the catch
SEC Rule 144: Selling Restricted and Control Securities. Information can be found at this link.

https://www.sec.gov/reportspubs/investor-publications/investorpubsrule144htm.html

Notice # 3:Trading Volume Formula.

If you are an affiliate, the number of equity securities you may sell during any three-month period cannot exceed the greater of 1% of the outstanding shares of the same class being sold, or if the class is listed on a stock exchange, the greater of 1% or the average reported weekly trading volume during the four weeks preceding the filing of a notice of sale on Form 144. Over-the-counter stocks, including those quoted Bulletin Boardon the OTC and the Pink Sheets, can only be sold using the 1% measurement.

They can't dump their restricted shares especially on otc ticker
Insiders can only sell 1-2% quarterly of the toal 1.01b os. So they can only legally sell or dump 10m per quarter.

For them to dump 855m restricted common shares, they will need 855/10 =85.5 quarters to achieve that.
This will translate to 85.5 quarters/4 = 21 years to dump all shares

Are the company interested in the pps up or down? no
Because pps does not really affect them.

Are they motivated to pump this ticker ?
No because they cant sell

Here is the interesting scenario. In order for them to gain financially is to M&A and buy out. Because its the only way that their restricted common shares can be converted to unrestricted common shares and traded on open market.

I could be wrong , but holding so many shares.....21 yr to sells....good luck with that.

The same mangement team / player of tsoi is Dr. Thomas Ichim.

Please read Thomas Ichim's Bio - Thomas E. Ichim founded 5 companies, among them: ToleroTech Technology, Inc., MedVax Pharma Corp. and Biorasi LLC. Presently, Dr. Ichim holds the position of Director & Chief Scientific Officer at Nobilis Therapeutics, Inc., Chief Scientific Officer & Director at Creative Medical Technology Holdings, Inc., President & Director at Creative Medical Technologies, Inc. (a subsidiary of Creative Medical Technology Holdings, Inc.) and Director & Chief Scientific Officer at Batu Biologics, Inc. (which he founded in 2014). Dr. Ichim is also on the board of Therapeutic Solutions International, Inc. and Riordan Clinic and Director & Vice President at Creative Medical Health, Inc.

In the past Thomas E. Ichim was Director & Chief Scientific Officer at Regen Biopharma, Inc., Vice President-Cellular Therapies at Intrexon Corp. and President, Director & Chief Scientific Officer at Medistem, Inc. (a subsidiary of Intrexon Corp.) and Program Manager at Biorasi LLC (he founded the company in 2004).

By the way Medistem was bought by intrexon in 2014

And Dr Thomas Ichim was the chief KOL and insider of medistem . At that time medistem insiders were holding 80% of restricted common shares too.

TSOI is following the same path as medistem. It is making a lot of progress under the radar.

Here are all the facts. No pump intended.

There are too many great things happening at TSOI, and now it is just a question when it will be bought by the big biopharma.

Good luck to all.
