Finally, contingent value rights rely on the good faith of the acquiring company to pursue a course of action that could actually allow the CVR to become profitable.

While CVR contracts specify that an acquirer must use good faith in conducting its business, the potential payout creates a conflict of interest, especially if the company has to invest even more cash to develop a speculative product it doesn't see as worthwhile and perhaps only agreed to in order to consummate a deal.



How many successful CVRs have there been? Most have been event driven.

Ultimately, you really do not want to be reliant on the "good faith" of a BP, especially when you have almost 0 rights, not even the (already slim) rights of a retail shareholder.

If I wanted my future prosperity to be reliant on the good faith of say, PFE or AMGN, I'd much rather get their stock rather than some dubious CVR with very little recourse in the event Amarin shareholders get screwed.
