To be clear on terminology here...

I was thinking that some of the selling recently may be folks tired of waiting just looking to get out breakeven, but then got to thinking that it actually may be from folks not understanding what exactly is happening...maybe the terminology is mixing them up.

So here is my 2 cents and hopefully it helps, if it's even needed...


In July of this year, Paul Moody was awarded custodianship of UCRP. Mr. Moody became the custodian to pay any past due fees and to eventually sell it off. Not a bad deal for him as he pays probably less than $1500 to take over a publicly traded company that he'll more than likely sell for $25,000 - $50,000 a few months later (we are now a few months later and it looks like he has sold, good for him, GOOD for us).

Recently on 9/17 UCRP had another court hearing (simple status hearing) and two days later on the NVSOS filed a 12 page filing to show an Action Type of "Merge Out" with the state of NV (key there is a 12 page filing...that tells me we have a merge in company!). Merge Out simply means there is a merger with another company and that UCRP will not be the surviving entity. When two companies merge one is absorbed (in this case the Merged Out UCRP) and the other survives (in this case the Merge In Co.).


As part of the merger process USSE Corp (UCRP) will be dissolved (hence the Status - Merge Dissolved in their business entity info on NVSOS) as they will no longer be the official company doing business.

This is EXACTLY what we have all been waiting on...To sell makes ZERO sense here unless you like to run marathons only to get to the end and quit 100 feet before you cross the finish line.

At some point here in the very near future (might be what transpires at tomorrows court hearing) we should see a filing to terminate custodianship and behind the scenes a control block of shares will be transferred to the new buyer. Then we simply wait for the new company to say hi to the world in a BIG, fat, juicy, send the stock price raging Press Release.

I figured there had to be some folks that got scared by the terminology like Merge Out (they were looking for Merge In), Merge Dissolved (they saw dissolved and thought everything fell apart) and when they see Terminate Custodianship they might think again, it fell apart (which it hasn't).


One last time...This is EXATCLY what we have been waiting for!

Sell your shares if you want, but I wanted to be sure everyone was making an educated decision and not a panicked one. My shares ain't goin' nowhere until I know what company is merging in...My fingers are crossed for Canadian MJ and I'm feelin' that is the direction we are going.
