Item 1.02 Termination of a Material Definitive Agreement

On July 4, 2018, Enertopia Corp. (" Enertopia " or the " Company ") provided Genesis Water Technologies Inc. (" GWT ") with a formal 30 day notice of termination (the " Notice of Termination ") of the commercialization agreement dated December 6, 2016 and as amended October 9, 2017. After reviewing the independent 3 rd party technical data from the completed second phase bench test, the Company's board of directors decided that it was in the best interests of the Company to provide the Notice of Termination citing non-viability.
