My opinions are based on the Independent Contract Agreement Otiko executed with Keough's business. Otiko hasn't responded to these allegations because the case didn't survive the motion on jurisdiction for the trademark claims. Once the case is refiled, Otiko will not have further motions to dismiss to bank on. Then he has to ANSWER to these charges, and go through the Discovery Process. That's when his provisional patents will come under scrutiny.

Otiko can't win. Kasten can win. Why would anyone with this information take a risk with a business run by Otiko, especially with the SEC complaints that have been filed on top of the litigation to be filed?

This is a safe space MegaVerde. Low float and many catalysts in 2018. They operate legally. They buy IP. They don't steal IP. They have a great advisory team. A win on the to-be-filed litigation means ViaDerma has to pay Kasten an amount of money to be determined.

Count 6: Breach of Independent Contractor Agreement (Otiko)

94. On February 24, 2011, Otiko executed the Independent Contractor Agreement, thereby creating an enforceable contract with Thru Pharma/Kasten.

95. Otiko has breached the Independent Contractor Agreement by disclosing Kasten’s confidential and proprietary information to third parties.

96. Otiko has breached the Independent Contractor Agreement by failing to return all of Kasten’s information and property after termination of the Agreement.

97. Otiko has breached the Independent Contractor Agreement by using Kasten’s confidential and proprietary information for his personal financial gain, and that of his companies.

98. Otiko has breached the Independent Contractor Agreement by challenging Kasten’s rights to its confidential and proprietary information.

99. Otiko has breached the Independent Contractor Agreement by filing patent applications for technology related to Kasten’s confidential and proprietary information.

100. Otiko has breached the Independent Contractor Agreement by failing to assign intellectual property and inventions relating to Kasten’s confidential and proprietary information.

101. Otiko has breached the Independent Contractor Agreement by engaging in activities that are competitive to Kasten and its products.
