Why did the Rainmaker owners go to all the expenses of merging with a dirty shell ?

Was it so they could share their immense profits (once they start actually building and selling windmills) with random strangers ?

Or was it so they could borrow money with convertible debt (in other words, so their share price would be the collateral) ?
