III, LLC and RMBS Recovery Holdings,

individually (collectively,
the
"Plaintiffs"
"Plaintiffs") and Syncora Guarantee,
Inc.
("Defendant")
(" Defendant"
that,
WHEREAS no
party hereto is an
infant,
incompetent person for whom a
committee has been appointed or conservatee and no person not a
party hereto has an
interest in the subject matter of the action that will be
substantially affected
by this
discontinuance; and
WHEREAS the Plaintiffs and Defendant have agreed to settle and compromise
this action on mutually acceptable terms;
NOW, THEREFORE, Plaintiffs and Defendant stipulate that the above entitled
action be, and the same hereby is, discontinued with prejudice as to Plaintiffs, and
without costs, disbursements or
attorneys'
fees to
any party against
any other.
