That's not a proper interpretation. It does not ever say Novus is related or describe the relation. Since it involves the award of shares to officers and directors, they list the table that just happens to include all shareholders (including Novus).

Read the entire S-1 and find out if Joseph Wade is listed as husband of Anastasia Shishova or as being part of Novus (he is not).

I posted earlier that Novus is the former lender and now Series B owner - this is in the 10-Q. I also showed how they are described as related only now and not previously.

There is no doubt that the company failed to disclose these related-party issues.
