If you BOD member has outside influence that may effect their voting responsibility, they are not independent. It is really very simple. Based on written statements, Ronin clearly expects to have an influence on these nominees....as do 90% of the posters on this board. Do I believe these 3 at Ronin's direction would most likely do a better job than the current board: Yes, but since they desire control with influence, it should not be allowed to go forward. Dart would be approving, not recommending, and with no connection. Big difference. AIMO
