Fred's a place holder, the new, activist, board will bring in an experienced CEO or sell the company.

A buddy of mine is in charge of mid-market restructuring at a major global investment bank. He has a whole team of CEO's who are experienced turnaround guys, who he plugs into situations like this for a year or two (although we're assuredly not mid-market), it's not a stretch to find someone.
