From what I've read on determining fair value through Delaware's courts, it's a battle of expert testimony. It takes preponderance of evidence to sway the court. The Delaware courts do used different methods to determine fair value. I've never done dissenter rights, this would be the first time. Right now, I'm assuming I will need to get a lawyer to help walk me through it.
POW! is an IP generating company, and I think it should be valued on the basis of its IP not on the amount of revenue it generates. It looks like Camsing's offer was a straight 5-5.35 times POW!'s 2014/15 revenue.
If anyone is contemplating suing, they should talk to a lawyer as soon as possible. But, you might want to wait until POW! sends out the notice before initiating anything. If I am right about disclosure, the notice should practically tell people to go for dissenter rights, it may also cover some areas that would initiate a lawsuit.
