In theory, one could surmise the issued preferred shares represent a poison pill prevention's and the main purpose also if you are doing a modification why not prepare for the future growth.
As you know A/S means nothing O/S has not changed and insider float is probably under 25 mil so insiders control was an issue...that's my theory
