Edited to Add: Tim,

You haven't the slightest understanding of Neom or YA. Have you read Vero's post (sticky note) at the top of this board. Vero, myself, and other long term investors are more than familiar with this company and Yorkville Advisers (YA). We carry an extensive understanding of the relationship between these two companies.

YA converts debentures (the financial instruments assigned to YA in exchange for the funding of Neom's $40 million debt). YA converts these debentures into common shares to meet any and all demand Furthermore, the loan accrues interest and YA receives an added incentive of a 5% discount on "ALL" conversions, which means they earn money on every conversion. This has been a driving force for YA.

As a result, the pps is unable to change. It will remain at .0001 regardless of ANY volume. This has been proven through numerous trading days of hundreds of millions of shares in single trading sessions. We have experienced days of more than 600,000,000 shares in a single session. The daytraders flock based on the immense volume without the SLIGHTEST understanding of how the financial arrangement affects this stock. Ultimately, after approximately 2 or 3 months of losing their money into this fire pit, they begin to realize the truth, become disgusted, and leave the board...but not before they've compelled newbies to throw hard earned money into this pit!

In short, the stock runs counterintuitive to normal stocks and this will not cease until the debt is repaid in full. All $40 million MUST be repaid to YA. As Neom buys back the debt, YA is required to return to Neom the number of debentures that equate to the dollar value repaid.

You appear as a daytrader attempting to drive the stock. I urge you to refrain, as the only thing you will accomplish will be increasing the outstanding shares as YA continues to dilute.

The latest filing shows further increase in the o/s. In the past YA has diluted the company by multiple BILLIONS of shares in a single quarter...yes, a SINGLE quarter! YA continues its horrific practices.

Please be certain to read Vero's post.

All of the above, JMO.

Best,
BC
