So where's the fraud? Even the document offering to appoint or at least give best effort to appoint an independent board by the end of 2014 gives wiggle room. There's nothing against the law about losing money and the accumulated deficit here pales in comparison to other small companies (ie plug power which has lost money for 60 straight qtrs and written a book on dilution).
